Terms of Service

Welcome to TC Northwest™. These Terms of Service ("Terms") govern your access to and use of the TC Northwest™ platform, website, and related services (collectively, the "Service") operated by TC Northwest™ ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Please read these Terms carefully. They contain important information about your legal rights, remedies, and obligations, including limitations of liability and a dispute resolution clause.

1. Description of Service

TC Northwest™ is a web-based transaction coordination platform designed for real estate professionals, primarily those operating in the Pacific Northwest and using the Northwest Multiple Listing Service (NWMLS). The Service provides tools for managing real estate transaction files, tracking deadlines and contingencies, coordinating with transaction participants, managing contacts, generating correspondence, and organizing tasks and calendars within collaborative workspaces called "Spaces."

The Service is a productivity and organizational tool. It does not provide legal, financial, tax, or real estate advice. You are solely responsible for verifying the accuracy of all transaction data, deadlines, and communications generated through the Service.

2. Eligibility and Account Registration

To use the Service, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. Anyone may create an account on the Service. To join a collaborative workspace ("Space"), you must be invited by the Space owner or an administrator of that Space.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. Providing false or misleading information may result in account termination.

3. Spaces and Roles

The Service is organized around "Spaces," which are collaborative workspaces created and managed by a Space owner. Each Space has its own set of transaction files, contacts, agent profiles, and settings. Users may be assigned roles within a Space (such as owner, admin, or member) that determine their level of access and permissions.

Space owners are responsible for managing access to their Space, including inviting and removing members, configuring roles, and ensuring that the data entered into their Space is handled appropriately. By joining a Space, you consent to the Space owner and other authorized members viewing the transaction data and profile information you contribute to that Space.

4. Subscription and Billing

4.1 Free Trial

New Space owners may be eligible for a free trial period. During the trial, you have full access to the Service's features. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

4.2 Subscription Fees

The Service is offered on a monthly subscription basis at $80 per month per Space. Subscription fees are billed in advance on a recurring monthly cycle. All fees are quoted in U.S. dollars and are non-refundable except as expressly stated in these Terms or as required by applicable law.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through the Space settings. Cancellation takes effect at the end of the current billing period, and you will retain access to the Service until that date.

4.4 Payment Processing

All payments are processed by Stripe, Inc. By providing payment information, you authorize us to charge your designated payment method for all subscription fees. You are responsible for keeping your payment information current. If a payment fails, we may suspend access to the Service until the outstanding balance is resolved.

4.5 Price Changes

We reserve the right to change subscription pricing with at least 30 days' prior notice. Price changes will take effect at the start of your next billing cycle following the notice period. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any purpose other than legitimate real estate transaction coordination and related professional activities.
• Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to the Service.
• Interfere with or disrupt the Service or the servers and networks used to provide the Service.
• Use automated means (bots, scrapers, or similar tools) to access the Service without our prior written consent.
• Reverse engineer, decompile, or disassemble any aspect of the Service.
• Resell, sublicense, or redistribute access to the Service without our authorization.
• Use the Service to store or transmit any malicious code, viruses, or harmful data.

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including suspending or terminating their account and reporting them to law enforcement.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, features, code, documentation, logos, and trademarks, is owned by TC Northwest™ and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

6.2 Your Content

You retain ownership of all data, documents, and content that you upload or enter into the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service to you and your Space members. We will not use Your Content for any other purpose without your consent.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

If you enter personal information about third parties (such as transaction participants, clients, or contacts) into the Service, you represent that you have the necessary authority or consent to do so and that such information is accurate to the best of your knowledge.

8. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy, completeness, or reliability of any content, data, or calculations generated through the Service, including but not limited to deadline calculations, timeline computations, and holiday adjustments.

You acknowledge that the Service is a tool to assist with transaction coordination and that you are solely responsible for independently verifying all deadlines, dates, contract terms, and other critical information related to your real estate transactions.

9. Limitation of Liability

To the maximum extent permitted by applicable law, TC Northwest™ and its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Service, regardless of the cause of action or the theory of liability.

In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or the Service exceed the total amount of subscription fees you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

This limitation of liability applies to the fullest extent permitted by law and shall survive the termination of these Terms. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless TC Northwest™ and its owners, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit or transmit through the Service.

11. Termination

You may terminate your account at any time by contacting us. If you are a Space owner, canceling your subscription will deactivate your Space at the end of the current billing period. Members of a deactivated Space will lose access to the data within that Space.

We may suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or the Service, or is otherwise inappropriate. Upon termination, your right to use the Service will immediately cease.

Upon request made within 30 days of account termination, we will make a reasonable effort to provide you with an export of Your Content. After 30 days, we may delete Your Content in accordance with our data retention practices.

12. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration or in the courts of the State of Washington, as described below.

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Washington for any actions not subject to arbitration.

13. Modifications to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice by posting the updated Terms on this page and updating the "Effective Date." For significant changes that affect your rights or obligations, we will make reasonable efforts to notify you via email or through the Service. Your continued use of the Service after any modifications constitutes your acceptance of the updated Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you andTC Northwest™ regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
